IMPORTANT ARBITRATION NOTICE:
PLEASE BE AWARE THAT SECTION 13 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND Dibs AI Inc.. AMONG OTHER THINGS, SECTION 13 INCLUDES AN AGREEMENT TO ARBITRATE WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US SHALL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 13 ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER.
1. Accounts
1.1 Account Creation
In order to use certain features of the Site, you must register for an account ("Account") and provide certain information about yourself as prompted by the account registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information. You may delete your Account at any time, for any reason, by contacting us. Dibs AI Inc. may suspend or terminate your Account in accordance with Section 8.
1.2 Account Responsibilities
You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify Dibs AI Inc. of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security. Dibs AI Inc. cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
2. Access to the Site
2.1 License
Subject to these Terms, Dibs AI Inc. grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site solely for your own personal, noncommercial use.
2.2 Certain Restrictions
The rights granted to you in these Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site; (b) you shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Site; (c) you shall not access the Site in order to build a similar or competitive website, product, or service; and (d) except as expressly stated herein, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means.
2.3 Ownership
You acknowledge that all the intellectual property rights, including copyrights, patents, trade marks, and trade secrets, in the Site and its content are owned by Dibs AI Inc. or Dibs AI Inc.'s suppliers. Neither these Terms (nor your access to the Site) transfers to you or any third party any rights, title or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in Section 2.1.
3. User Content
3.1 User Content
"User Content" means any and all information and content that a user submits to, or uses with, the Site. You are solely responsible for your User Content. You assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness or usefulness by others.
3.2 Acceptable Use Policy
You agree not to use the Site to collect, upload, transmit, display, or distribute any User Content that:
- Violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right
- Is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another's privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual
- Is harmful to minors in any way
- Is in violation of any law, regulation, or obligations or restrictions imposed by any third party
4. Indemnification
You agree to indemnify and hold Dibs AI Inc. (and its officers, employees, and agents) harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Site, (b) your violation of these Terms, (c) your violation of applicable laws or regulations or (d) your User Content.
5. Third-Party Links & Other Users
The Site may contain links to third-party websites and services. Such third-party links are not under the control of Dibs AI Inc., and Dibs AI Inc. is not responsible for any third-party links. You use all third-party links at your own risk, and should apply a suitable level of caution and discretion in doing so.
6. Disclaimers
THE SITE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS
DIBS AI INC. (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DIBS AI INC. (OR OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS ($50).
8. Term and Termination
We may suspend or terminate your rights to use the Site (including your Account) at any time for any reason at our sole discretion, including for any use of the Site in violation of these Terms. Upon termination of your rights under these Terms, your Account and right to access and use the Site will terminate immediately.
9. Copyright Policy
Dibs AI Inc. respects the intellectual property of others and asks that users of our Site do the same. If you believe that one of our users is unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, please provide the following information to our designated Copyright Agent:
- Your physical or electronic signature
- Identification of the copyrighted work(s) that you claim to have been infringed
- Identification of the material on our services that you claim is infringing and that you request us to remove
- Sufficient information to permit us to locate such material
- Your address, telephone number, and e-mail address
- A statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner
10. General
10.1 Changes
These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an e-mail to the last e-mail address you provided to us (if any), and/or by prominently posting notice of the changes on our Site. Continued use of our Site following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
10.2 Dispute Resolution
Arbitration Agreement
You agree that any dispute between you and Dibs AI Inc. relating in any way to the Site or these Terms will be resolved by binding arbitration, rather than in court, except that you and Dibs AI Inc. may assert individualized claims in small claims court if the claims qualify.
Class Action Waiver: YOU AND DIBS AI INC. AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, REPRESENTATIVE, OR COLLECTIVE BASIS, AND THE PARTIES HEREBY WAIVE ALL RIGHTS TO HAVE ANY DISPUTE BE BROUGHT, HEARD, ADMINISTERED, RESOLVED, OR ARBITRATED ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION BASIS.
Jury Trial Waiver: YOU AND DIBS AI INC. HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.
Arbitration Rules: The arbitration will be conducted by JAMS under its Consumer Arbitration Rules. You have the right to opt out of this Arbitration Agreement by sending written notice to legal@calldibs.ai within 30 days after first becoming subject to this Arbitration Agreement.
10.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
11. Copyright Information
Copyright © 2025 Dibs AI Inc.. All rights reserved. All trademarks, logos and service marks displayed on the Site are our property or the property of other third parties. You are not permitted to use these marks without our prior written consent or the consent of such third party which may own the marks.
12. Ticket Purchases
12.1 Transaction Terms
When you purchase tickets through Dibs, you agree to the following terms:
- All ticket sales are final and non-refundable except as specified in Section 13 (Refunds and Cancellations)
- You must provide accurate and complete information for ticket delivery
- You are responsible for reviewing all event details, seating information, and delivery methods before completing your purchase
- Tickets purchased are legitimate and obtained from authorized sources
12.2 Order Finality
Once you complete a ticket purchase, the transaction is final. Orders cannot be modified, cancelled, or exchanged except as explicitly permitted in these Terms. You will not be able to change the quantity, seating location, delivery method, or any other aspect of your order after purchase completion.
12.3 Buyer Obligations
As a ticket buyer, you agree to:
- Provide a valid email address for ticket delivery
- Provide accurate billing and contact information
- Check your email (including spam/junk folders) for ticket delivery
- Access and download your tickets in a timely manner
- Comply with the venue's terms and conditions
Failure to provide accurate information may result in non-delivery of tickets and forfeiture of your right to a refund or replacement.
13. Refunds and Cancellations
13.1 When Refunds Are Granted
Refunds will only be provided in the following circumstances:
- The event is cancelled by the organizer and not rescheduled
- Tickets are not delivered as promised and we cannot provide suitable replacement tickets
- We determine, in our sole discretion, that exceptional circumstances warrant a refund
13.2 When Refunds Are Not Granted
Refunds will NOT be granted for any of the following reasons:
- Change of plans or inability to attend the event
- Dissatisfaction with event performer, venue, or experience
- Failure to bring required identification or items to the venue
- Incorrect delivery information provided by the buyer
- Failure to check email or access tickets before the event
- The event is rescheduled to a new date (see Section 14 for rescheduling policy)
13.3 Refund Process
If you believe you are entitled to a refund under these Terms:
- Contact us at legal@calldibs.ai within 30 days of the event date or cancellation announcement
- Provide your order details and reason for the refund request
- Allow up to 14 business days for review of your request
- If approved, refunds will be processed to your original payment method within 10 business days
Refund amounts will equal the total amount paid, including all fees and taxes. Refunds are provided at our sole discretion and are subject to verification of the refund eligibility criteria.
14. Event Cancellations and Rescheduling
14.1 Cancelled Events
If an event is cancelled by the event organizer and not rescheduled to a new date, you will be eligible for a full refund of your purchase price, including all fees and taxes. We will notify you via email of the cancellation and refund process. Refunds for cancelled events will be processed automatically within 14 business days of the cancellation announcement.
14.2 Rescheduled Events
If an event is rescheduled to a new date, your tickets will automatically be valid for the new date. You will have the following options:
- Attend the rescheduled event: Your tickets remain valid with no action required
- Request a refund: Contact us within 30 days of the rescheduling announcement to request a full refund
14.3 Limitation of Liability
Dibs AI Inc. is not responsible for event cancellations or rescheduling decisions made by event organizers, venues, or performers. Our liability is limited to providing a refund of your ticket purchase price as specified in these Terms. We are not liable for any travel expenses, accommodation costs, or other incidental expenses incurred in connection with attending or planning to attend an event.
15. Merchant of Record & Payment Processing
15.1 Merchant of Record
All ticket transactions processed through Dibs are sold by Ticket Evolution, Inc. as the merchant of record. Ticket Evolution, Inc. is the legal seller of all tickets purchased through our platform and is responsible for payment processing and order fulfillment.
Your credit card or bank statement will reflect a charge from Ticket Evolution, Inc. or its payment processor, Braintree. Dibs AI Inc. acts as a platform connecting buyers with Ticket Evolution's ticket inventory, but Ticket Evolution is the merchant and seller of record for all transactions.
15.2 Payment Security
All payment processing is handled securely through Braintree, a PayPal service, in accordance with Payment Card Industry Data Security Standards (PCI DSS). Dibs does not store your complete credit card information on our servers. Your payment information is encrypted and transmitted securely to our payment processor.
15.3 Payment Disputes
If you have a question or dispute regarding a charge on your credit card or bank statement, please contact us at legal@calldibs.ai before initiating a chargeback with your financial institution. We will work with you to resolve any payment-related issues. Initiating a chargeback without first contacting us may result in suspension or termination of your account.
16. Ticket Delivery
16.1 Delivery Methods
Tickets purchased through Dibs are delivered electronically via email as e-tickets or mobile tickets. The specific delivery method for your tickets will be clearly indicated on the checkout page before you complete your purchase. Delivery methods may include:
- Instant Delivery: Tickets sent to your email immediately after purchase
- E-Ticket: Electronic tickets delivered via email within 24 hours of purchase
- Mobile Ticket: Tickets accessible via mobile device through a link or app
16.2 Delivery Timeline
Most tickets are delivered within 24 hours of purchase. In some cases, tickets may be delivered closer to the event date based on when the event organizer releases tickets. The expected delivery timeline will be clearly displayed on the checkout page before you complete your purchase.
16.3 Email Delivery
Tickets will be sent to the email address you provide during checkout. You are responsible for:
- Providing a valid and accessible email address
- Checking your email regularly, including spam and junk folders
- Downloading or saving your tickets upon receipt
- Ensuring your email account has sufficient storage space
16.4 Non-Delivery
If you do not receive your tickets within the expected delivery timeline, please contact us immediately at legal@calldibs.ai. If non-delivery is due to an incorrect email address you provided, we may not be able to issue a refund. We will make reasonable efforts to resend tickets to a corrected email address, but cannot guarantee delivery in time for the event if you provide notice close to the event date.
17. Pricing and Fees
17.1 All-In Pricing
Dibs displays all-in pricing, meaning the total price shown on the checkout page is the final amount you will pay. There are no hidden fees. The displayed price includes:
- Base ticket price
- All service fees and handling charges
- Applicable taxes based on your delivery location
17.2 Price Comparison
Ticket prices on Dibs may be above, at, or below the original face value of the tickets. Prices are determined by market demand, ticket availability, seat location, and other factors. The price you see on our platform is the price you pay—we do not guarantee that it is the lowest price available for comparable tickets.
17.3 Taxes
Applicable sales taxes, use taxes, and other taxes are calculated based on your delivery address and the event location. Tax rates are determined by Ticket Evolution in accordance with applicable tax laws and may vary by jurisdiction. The total tax amount will be clearly displayed on the checkout page before you complete your purchase.
17.4 Currency
Prices are displayed in the currency applicable to the event and your location, which may include USD, CAD, EUR, or GBP. The currency will be clearly indicated on the checkout page. If your payment method uses a different currency, your financial institution may apply currency conversion fees.
18. Payment Terms
18.1 Accepted Payment Methods
We accept major credit cards and debit cards, including Visa, Mastercard, American Express, and Discover. Payment processing is handled securely through Braintree. By providing your payment information, you authorize us to charge your payment method for the total purchase amount.
18.2 Payment Authorization
When you complete a ticket purchase, your payment method will be charged immediately for the full amount of your order. By clicking the "Pay" or "Complete Purchase" button, you authorize Ticket Evolution, Inc. to charge your payment method for the total amount displayed on the checkout page.
18.3 Payment Requirements
You agree to:
- Provide valid, current, and complete payment information
- Update your payment information if it changes
- Ensure sufficient funds or credit are available to complete your purchase
- Pay all applicable fees and charges associated with your purchase
18.4 Failed Payments
If your payment method is declined or payment fails for any reason, your ticket order will not be processed and tickets will not be reserved or delivered. You will receive an error message on the checkout page. You may attempt to complete your purchase again with a different payment method or by correcting the payment information, subject to ticket availability.
19. Our Guarantee
Dibs stands behind every ticket purchase with our 100% Guarantee. We guarantee that:
- Your tickets will be valid and authentic
- Your tickets will arrive in time for the event
- You will receive the tickets you ordered or comparable tickets
- You will get a full refund if the event is cancelled and not rescheduled
